User Agreement for www.BooksImpact.com

This document sets out the terms upon which Book Landing Network Inc. offers access to their services.

The User Agreement for Impactbooks.com (the “Agreement”) describes the terms and conditions which apply to the usage of services available at www.impactbooks.com (the “Site”). If you do not agree to be bound by the terms and conditions of this Agreement, please do not use the Site or access our services.

You must read, agree with and accept all of the terms and conditions contained in this Agreement and the Privacy Policy, which include those terms and conditions expressly set out below and those incorporated by reference, before you may become a member of Impactbooks.com.

This Agreement may be amended at any time by posting the amended terms and conditions on our site. All amendments shall automatically be effective 30 days after their initial posting on our site. This Agreement may not be otherwise amended. This Agreement is effective upon acceptance in registration for new registering users and is otherwise effective as of September 1st 2007.

1. Membership

Individuals must be able to form legally binding contracts under applicable law in order to access our Site and use our services. For persons under the age of 18, use of this Site must be under the supervision of a parent or guardian. User Identification for this Site may not be transferred or sold to another party. Individuals registering on behalf of a business entity thereby represent that they have the authority to bind the entity to this Agreement. Any party not qualifying for membership in accordance with the above stated principles is requested not to use this Site.

2. Fees & Services

Joining and using our services is free. We do charge fees for service providers. Our Fees Policy is available at Book Landing Network Inc. and is incorporated into this Agreement by reference. In the event that our fees and charges change, the changes will not be effective until 14 days has passed from the date the changes were posted on our Site. We may in our sole discretion change some or all of our services at any time. Unless otherwise stated all fees are quoted in Canadian dollars. You are responsible for paying all fees associated with using our service and this website and all applicable taxes.

3. Cancellation

In the event of a cancellation of a member subscription the following rule will apply: The member will be responsible for payment equal to one half of the length of the subscription. For example, a member who wishes to cancel a 1-year subscription will be responsible for payment equal to a 6-month subscription.

4. Information Provided to the Site

Your Information and your activities on the Site shall not: (a) be false, inaccurate or misleading; (b) be fraudulent or involve the sale of counterfeit or stolen items; (c) infringe any third party's copyright, patent, trademark, trade secret or other proprietary rights or rights of publicity or privacy; (d) violate any law, statute, ordinance or regulation (including, but not limited to, those governing consumer protection, unfair competition, anti-discrimination or false advertising); (e) be defamatory, trade libelous, unlawfully threatening or unlawfully harassing; (f) be obscene; (g) contain any viruses or other computer programming routines that may damage, detrimentally interfere with, surreptitiously intercept or expropriate any system, data or personal information;

5. Access & Interference

You agree that you will not use any automated means to access the Site for any purpose without our express written permission. Additionally, you agree that you will not: (i) take any action that imposes, or may impose in our sole discretion an unreasonable or disproportionately large load on our infrastructure; (ii) copy, reproduce, modify, create derivative works from, distribute or publicly display any content (except for Your Information) from the Site without prior expressed written permission from us and the appropriate third party, as applicable; (iii) interfere or attempt to interfere with the proper working of the Site or any activities conducted on the Site

6. Breach

In the event that your actions: (a) breach this Agreement or the documents it incorporates by reference; or (b) cause us to believe that your actions may cause financial loss or legal liability for you, our users or us, we may limit your activity, remove your listings, warn our community of your actions, issue a warning, temporarily suspend, indefinitely suspend or terminate your membership and refuse to provide our services to you. Our failure to act in relation to a breach by you does not waive our right to act with respect to subsequent or similar breaches.

7. Privacy

We respect the privacy of our members and the protection of member privacy is important to us. Our privacy policy is available to view at www.booksimpact.com and is incorporated into this Agreement by reference.

8. No Warranty

Our web site and services are provided "as is" and without any representation, warranty or condition, express, implied or statutory. We specifically disclaim any implied representation, warranties of title, merchantability, merchantable quality, fitness for a particular purpose and non-infringement, and those arising by law or through a course of dealing or usage of trade, unless specifically required by law.

9. Liability Limit

We shall not, in any circumstances, be liable for lost profits or any special, incidental, consequential, indirect or punitive damages arising out of or in connection with our site, our services or this agreement (however arising, including negligence). Further, we shall not be liable for actions or omissions occurring between parties using our services and Site.

10. Indemnity

Through acceptance of this Agreement, you agree to indemnify and hold us and our, affiliates, officers, directors, agents, and employees, harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your breach of this Agreement or the documents it incorporates by reference, or your violation of any law or the rights of a third party.

11. Legal Compliance

You shall comply with all applicable laws, statutes, ordinances and regulations regarding your use of our service and your listing, purchase, solicitation of offers to purchase, and sale of items or services.

12. No Agency

No agency, partnership, joint venture, employee-employer or franchisor-franchisee relationship is intended or created by this Agreement.

13. General

This Agreement shall be governed in all respects by the laws of the Province of Ontario and the Federal Laws of Canada applicable therein. No guarantee is provided as to continuous, uninterrupted service or secure access to our services. Operation of our Site may be affected by factors outside our control

Privacy Policy Introduction

This Privacy Policy describes the information, as part of the normal operation of our services, we collect from you and what may happen to that information. Our subsidiaries and joint venture partners operate under similar privacy practices as described in this Privacy Policy and, subject to the requirements of applicable law, we strive to provide a consistent set of privacy practices throughout the Impactbooks.com community. By accepting the Privacy Policy and User Agreement in registration, you expressly consent to our use and disclosure of your personal information in accordance with this Privacy Policy. This Privacy Policy is incorporated into and subject to the terms of the Impactbooks.com User Agreement. This Privacy Policy is effective upon acceptance in registration for new registering users, and is otherwise effective on September 1st, 2007 for all users.

We can be reached via e-mail at admin@booksimpact.com or you can reach us by telephone at 613-620-1536 For each visitor to our Web page, our Web server does not recognize information regarding the domain or e-mail address.

We collect the e-mail addresses of those who post messages to our bulletin board, the e-mail addresses of those who communicate with us via e-mail, the e-mail addresses of those who make postings to our chat areas, information volunteered by the consumer, such as survey information and/or site registrations, name and address, telephone number, fax number, payment information (e.g., credit card number and billing address). Our website does not set any cookies.

If you do not want to receive e-mail from us in the future, please let us know by sending us e-mail at the above address.

From time to time, we make the e-mail addresses of those who access our site available to other reputable organizations whose products or services we think you might find interesting. If you do not want us to share your e-mail address with other companies or organizations, please let us know by contacting us at the number or e-mail address provided above.

If you supply us with your postal address on-line you will only receive the information for which you provided us your address. Persons who supply us with their telephone numbers on-line may receive telephone contact from us with information regarding orders they have placed on-line. Our website does not partner with or have special relationships with any ad server companies.

From time to time, we may use customer information for new, unanticipated uses not previously disclosed in our privacy notice.
